ZaronAI – Terms of Service & Disclaimer

By accessing or using ZaronAI ("Platform," "Service"), you agree to be legally bound by these Terms of Use. If you do not agree, you must not access or use the Platform.

1. Use at Your Own Risk

The Platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis. Your use of the Platform is entirely at your own risk.

2. No Warranties

To the fullest extent permitted by law, ZaronAI disclaims all warranties, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of outputs

ZaronAI does not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components.

3. Experimental and Evolving Technology

You acknowledge that the Platform is based on emerging and experimental artificial intelligence technologies.

Such technologies are inherently unpredictable and may:

• Produce inaccurate or misleading outputs
• Behave inconsistently across interactions
• Change behavior over time

The Platform is provided for general-purpose use and experimentation and is not guaranteed to operate consistently or correctly in all situations.

4. AI-Generated Content and System Behavior

The Platform utilizes artificial intelligence systems and user-defined workflows that may:

• Produce incorrect, incomplete, or misleading outputs
• Execute automated actions based on user configuration
• Behave in unintended or unexpected ways

You expressly acknowledge that:

• AI outputs are non-deterministic and may be incorrect
• System behavior depends on user-defined configurations
• You are solely responsible for reviewing, validating, and approving all outputs and system actions before reliance or use

AI token counts/costs displayed are approximations and should not be relied upon for accuracy.

5. No Professional Advice

The Platform does not provide legal, financial, medical, or other professional advice. Any information provided must not be relied upon as a substitute for consultation with a qualified professional.

6. User Responsibility

You are solely responsible for:

• All agents, workflows, prompts, and configurations you create
• All decisions and actions taken based on Platform outputs
• Ensuring compliance with applicable laws and regulations
• Any consequences resulting from use of the Platform

7. Data Loss and System Integrity

You acknowledge that the Platform stores user-created data, including agents, workflows, configurations, prompts, and related elements ("User Configurations").

ZaronAI does not guarantee the preservation, integrity, or availability of any User Configurations or data.

You expressly acknowledge that:

• Data loss, corruption, or unintended modification may occur
• Software defects, updates, or system failures may impact data
• The Platform is not a backup or archival system

You are solely responsible for maintaining independent backups of all User Configurations and critical data.

8. Service Availability (No Uptime Guarantee)

The Platform is provided without any guarantee of availability, uptime, or reliability.

ZaronAI does not warrant that the Platform will be uninterrupted, timely, secure, or error-free. The Platform may experience outages, delays, or disruptions at any time.

The Platform is not intended for mission-critical or safety-critical use.

9. Termination and Discontinuation of Service

ZaronAI reserves the right, at its sole discretion, to suspend, terminate, or permanently discontinue the Platform, in whole or in part, at any time.

You acknowledge that the Platform may be discontinued for any reason, including but not limited to business considerations.

In the event of permanent discontinuation, ZaronAI will provide reasonable advance notice where practicable and will make available a complete export of your model configurations in the standard ZaronAI import format.

ZaronAI shall not be liable for any loss, damage, or inconvenience resulting from the suspension, termination, or discontinuation of the Platform.

10. Fees and Pricing

The Platform is currently offered at no charge during an introductory period.

ZaronAI reserves the right to introduce, modify, or change fees for use of the Platform at any time. Any such changes will be communicated with advance notice before taking effect. Continued use of the Platform after the effective date of a pricing change constitutes acceptance of that change.

ZaronAI may offer promotional pricing or trial periods at its sole discretion, and may modify or discontinue such offerings at any time.

11. Third-Party Use and Resellers

The Platform may be used by agencies, developers, or other third parties ("Resellers") to provide services to end users.

ZaronAI does not control and is not responsible for:

• Configurations, agents, or workflows created by Resellers
• Any representations made by Resellers
• Any services delivered by Resellers to their clients

All such activities are solely the responsibility of the Reseller.

Resellers are solely responsible for providing their own terms of service, agreements, and disclosures to their end users.

Resellers agree to indemnify and hold harmless ZaronAI from any claims arising from their use of the Platform or services provided to their clients.

12. Prohibited Uses

You agree not to use the Platform:

• For any unlawful purpose
• In any manner that could harm others
• In connection with high-risk or safety-critical systems
• To violate any applicable laws or regulations

13. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

ZaronAI is not responsible for unauthorized access resulting from your failure to secure your account.

14. Limitation of Liability

To the fullest extent permitted by law, ZaronAI and its affiliates shall not be liable for any damages of any kind, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Business interruption
• Loss, corruption, or unavailability of data
• Errors or decisions based on Platform outputs

This limitation applies regardless of the legal theory of liability, whether in contract, tort, negligence, strict liability, or otherwise.

15. Limitation of Damages

In no event shall ZaronAI’s total liability exceed:

• The amount paid by you to ZaronAI in the 30 days preceding the claim
• Or $10 USD if no fees were paid

16. Indemnification

You agree to defend, indemnify, and hold harmless ZaronAI and its affiliates from any claims, damages, or expenses arising from:

• Your use of the Platform
• Your configurations, workflows, or outputs
• Your violation of these Terms

17. Cookies and Tracking

The Platform uses cookies solely for:

• User authentication
• Session management
• Core functionality

ZaronAI does not sell, rent, or share cookie data with third parties for marketing or advertising purposes.

By using the Platform, you consent to the use of cookies as described in this section.

18. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be resolved exclusively through binding arbitration.

Arbitration shall be conducted in the State of North Carolina in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

Each party shall bear its own legal fees and costs, except as otherwise required by applicable law.

19. Modifications to Terms

ZaronAI reserves the right to modify these Terms at any time. Material changes will be communicated with advance notice before taking effect. Continued use of the Platform after the effective date of any change constitutes acceptance of the updated Terms.

20. Governing Law

These Terms shall be governed by the laws of the State of North Carolina, without regard to conflict of law principles.

21. Acceptance of Terms

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to these Terms.
